Terms of Service
Effective date: October 12, 2026
These Terms of Service ("Terms") are an agreement between you and Incorpify AI Holdings Inc. ("Incorpify", "we", "us"). They cover the website at incorpify.ai, the Incorpify app, and every service you buy from us (together, the "Services").
The short version. This summary helps you read the Terms. It does not replace them.
- We are not a law firm or a CPA firm. We give information, not legal or tax advice. The decisions are yours.
- Our software never files anything. Filings are made by our formation partner, our CPA partner, a named person on your Incorpify team, or you. Nothing is filed until you sign a Filing Authorization.
- You are responsible for the information you give us. We file what you tell us.
- We don't promise a date. Timing depends on your state and the IRS.
- Formed correctly or your money back. If we make an error in your formation, we fix it at no charge or refund our formation fee. State fees go to the state and can't be refunded.
- You can cancel a formation order for a full refund until it is submitted to our formation partner. After that, the order is final.
- Books and Complete have a 12-month commitment, billed yearly or monthly. See Section 10 for renewal and cancellation.
- Compass is an AI assistant and can make mistakes. Anything filed, paid or signed is approved by a named person.
- Disputes go to individual arbitration, not class actions, unless you opt out within 30 days (Section 20). This does not apply if you are a consumer in the EU or UK, and your local consumer rights still apply (Section 22).
1. Accepting these Terms
1.1 By creating an account, checking a box that says you agree, or paying for a Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1.2 If you act for a company. If you use the Services for a company, an existing business, or a company we are forming for you, you confirm that you have authority to accept these Terms for it. "You" then means both you and that company. Once your new company exists, it is bound by these Terms from its formation date.
1.3 Other documents that form part of these Terms. Some Services ask you to accept or sign further documents, such as the Filing Authorization (Section 4), your order summary at checkout, and terms of the providers listed in Section 14. If one of those documents conflicts with these Terms, that document governs for the specific Service it covers.
2. Who can use the Services
2.1 To use the Services you must:
- be at least 18 years old and able to enter a binding contract;
- give us information that is true, accurate, complete and kept up to date;
- use the Services only for a lawful business purpose.
2.2 Sanctions and export controls. You confirm that neither you, your company, nor any owner, officer or responsible party of your company:
- is on a US government sanctions or restricted-party list, including the OFAC Specially Designated Nationals and Blocked Persons List, or is owned 50% or more by such a person;
- is located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions;
- will use the Services or the company to do business with, or for the benefit of, any such person, country or region.
2.3 We do not run an identity check at formation. We may still ask you for information or documents at any time to confirm who you are, who owns your company, or that you meet these Terms, including where a partner, a bank or the law requires it. We may refuse, pause or cancel an order, or suspend your account, if you do not provide what we ask for or if we reasonably believe you do not meet this Section 2. If we cancel a formation order before it is submitted to our formation partner for this reason, we refund what you paid for it, unless the law prevents us from doing so.
3. Information, not advice
3.1 We are not a law firm or a CPA firm. Incorpify does not provide legal, tax, accounting or financial advice, and is not your lawyer, tax adviser, or fiduciary. Using the Services does not create an attorney-client, accountant-client or fiduciary relationship with Incorpify, and communications with Incorpify are not protected by attorney-client privilege.
3.2 You make the decisions. The Services explain options, rules and deadlines in general terms. We show you facts about each state and entity type, but we do not tell you which to choose. The choice of state, entity type, structure, ownership, tax elections and anything else about your company is yours. For advice on your situation, speak to a lawyer or tax adviser licensed where you need the advice.
3.3 Professional services by our partners. When our CPA partner prepares and files a tax return for you (Section 8), the CPA partner provides that professional service directly to you under its own terms and engagement letter, and is responsible for it. Incorpify coordinates the work and does not provide the tax service itself.
4. Who files what
4.1 Our software never files. The Services track your deadlines, prepare information and remind you. No part of the Services transmits a filing to the IRS or to any state on its own. Every filing is made by one of:
- our formation partner, a third-party company that files formation documents, EIN applications and state filings;
- our CPA partner, a licensed tax professional who prepares and files tax returns on the Complete plan;
- your Incorpify team, named people at Incorpify who file certain state paperwork by hand, such as an annual report, on the state's own website; or
- you, directly with the agency.
The Services show who files each item.
4.2 Filing Authorization. No one files anything for your company until the owner of your company (or a person with authority to act for it) signs our Filing Authorization in the app. The Filing Authorization says what our formation partner and your Incorpify team may file for you. You can withdraw it in the app at any time. Withdrawal does not undo filings already submitted, and filings that need it will stop.
4.3 You review before anything is filed. Before a filing is submitted, you will be asked to review and confirm the information in it. You are responsible for checking that it is correct and complete.
4.4 Agency fees, taxes and penalties are yours. State filing fees, franchise taxes, annual report fees, income taxes and any other amounts owed to a government agency are your company's responsibility, as are any interest and penalties, unless Section 6 applies.
5. Formation
5.1 What Formation includes. When you buy Formation, we arrange for our formation partner to form one US limited liability company (LLC) or C corporation in one state that you choose. Formation includes the items listed at checkout for your order, which currently are:
- preparing and filing your formation document with the state;
- applying for your company's Employer Identification Number (EIN) with the IRS on Form SS-4, which you sign;
- an operating agreement (LLC) or bylaws (C corporation), as a standard template for you to review and adopt;
- registered agent service and the registered agent address for your first year (Section 7);
- the compliance calendar in your dashboard.
5.2 Price and state fee. You pay our formation fee plus your state's filing fee. We pass the state fee through at cost and show it for your state before you pay. If the state changes its fee, or a fee for your order turns out to be different from what was shown, we will tell you before we pay it and ask you to approve the difference.
5.3 What you provide. You must give us accurate information about your company, its name, its owners, its managers or officers, its responsible party and its addresses, and sign the documents we ask you to sign (including Form SS-4 and the Filing Authorization). We file what you give us. If the state rejects a name, or asks for more information, we will tell you and ask you to choose another name or provide what is needed.
5.4 EIN. The EIN is assigned by the IRS. You sign Form SS-4 and you remain responsible for its content. If you authorize a third-party designee on Form SS-4, that authority is limited to what the IRS allows on that form. Where your plan includes an expedited EIN request, "expedited" describes how the request is handled; it is not a promise of when the IRS will issue the EIN. If an expedited EIN request cannot be completed, your EIN application continues through the standard process at no extra charge, and if you paid a separate price for the expedited request, we refund it.
5.5 No date promise. Processing times are set by your state and the IRS, and they change. We don't promise a date for any filing, approval or EIN, and we are not responsible for delays caused by an agency. You can follow every step in your dashboard, and we will tell you when something needs you.
5.6 When your order becomes final. Your formation order is submitted to our formation partner after you have paid, confirmed your information, and signed the Filing Authorization, and after a final check by your Incorpify team. Before submission, you may cancel your formation order in the app or by contacting us, and we will refund what you paid for it in full. If you bought Books or Complete and cancel before your formation order is submitted, we also refund what you paid for the plan, because no part of it has started. Once your order has been submitted, it cannot be cancelled or refunded, except under Section 6 or where Section 22 gives you a right that cannot be waived.
5.7 Forming the company is not everything. A company formed in one state may need to register in other states where it does business, get licenses or permits, and make tax filings. Unless your plan says otherwise, those are not part of Formation. The Services may point them out, but you are responsible for them.
6. Formed correctly or your money back
6.1 Our promise. If your formation contains an error made by Incorpify or our formation partner, such as a misspelled company name, wrong owner or manager details, or the wrong entity type or state, compared with the information you confirmed before submission, we will, at our choice:
- correct the error and re-file, at no charge to you, including any state fee needed to correct it; or
- refund our formation fee.
6.2 What it does not cover.
- errors in information you gave us or confirmed;
- your choice of state, entity type, name or structure;
- a state's or the IRS's decision, delay, or rejection that is not caused by our error;
- the state filing fee already paid to the state for a correctly submitted filing, which the state keeps and which we cannot refund;
- changes you want after filing that are not caused by our error;
- losses beyond the remedy in Section 6.1.
6.3 How to claim. Tell us in writing within [CONFIRM: guarantee claim window] after you receive your formation documents, and describe the error. This Section 6 is your only remedy for errors in your formation, except where the law does not allow us to limit it.
7. Registered agent and business address
7.1 Year one. Formation includes registered agent service in your formation state for twelve months from formation. Our formation partner, or a registered agent company it uses, acts as your registered agent. The registered agent receives service of process and official state mail for your company at its address in that state and makes it available to you in your dashboard. If you already have a company and keep your own registered agent, this Section 7 does not apply to it.
7.2 What the address is. The "business address" included with your plan is the registered agent's address in your formation state. It is for official state and legal mail and for the public filings that require it. It is not an office, a mail-forwarding or mail-scanning service for general business mail, or a place to receive packages, unless we separately offer that service to you in writing. Mail or packages that are not official notices may be refused or discarded.
7.3 After year one. Registered agent service continues after year one only if you have an active Books or Complete plan or a Compliance subscription (Section 9). If you don't, the registered agent may resign as your registered agent after giving any notice the state's law requires, and you will need to appoint a new one. A company without a registered agent can lose its good standing or be dissolved by the state. You can change your registered agent at any time by filing the state's form, and state fees may apply.
7.4 Keep your contact details current. We send notices received by the registered agent to the email address on your account. You are responsible for reading them and acting on them in time.
8. Books and Complete plans
8.1 What the plans include. The Books and Complete plans include Formation and Compliance, plus the services listed for each plan at checkout and on our Pricing page, within the limits shown there (for example, the number of transactions per month). On the date of these Terms:
- Books adds bookkeeping in QuickBooks Online by an accountant, up to the monthly transaction allowance for the plan, and a month-end close with a profit and loss statement and balance sheet for each closed month.
- Complete adds a higher transaction allowance, an expedited EIN request (Section 5.4), and one income tax return per tax year, federal and state, for a supported company type, prepared and filed by our CPA partner (including Form 5472 where your company is foreign-owned and the form is required).
8.2 Transaction allowance. If your company regularly has more transactions than your plan allows, we will tell you and offer you a higher allowance at the price we show you. We will not charge you for more without your agreement. If you decline, we may keep the books only up to your allowance.
8.3 Your bookkeeping. Your books are kept from the information you and your bank and payment accounts give us. You are responsible for connecting your accounts, answering questions, and uploading receipts and documents when asked. If you don't, your books may be incomplete or late. The monthly statements are prepared for managing your company. They are not audited, reviewed or compiled financial statements, and they are not an attest service.
8.4 QuickBooks Online and bank connections. Books and Complete use QuickBooks Online, set up for you or connected from your existing account. Your accountant keeps your books directly in QuickBooks Online. The Incorpify app only reads from it. If you leave, we will help you move the QuickBooks Online company we set up for you to your own account or give you an export of it [CONFIRM: QuickBooks exit — transfer or export, and within how many days]. Your bank and payment account data reach us through a third-party data provider, with read-only access. Incorpify never moves your money, makes payments from your accounts, or holds your funds. QuickBooks Online is provided by Intuit Inc. under its own terms. Incorpify is not affiliated with or endorsed by Intuit.
8.5 Your tax return on Complete.
- The return included is one federal and one state income tax return per tax year for your company, for the company types we list as supported. Returns for unsupported company types, additional states, prior years, amended returns, and other complex returns are quoted separately before any work starts.
- Our CPA partner prepares and files the return under its own engagement letter and e-file authorization, which you may be asked to sign. You review the return and approve it before it is filed.
- You must give the CPA partner the information it asks for in time to meet the filing deadline. If you don't, the return may be filed late or need an extension, and any penalties are your company's responsibility.
- A return not used in a tax year does not carry over.
8.6 Existing companies. If you bring an existing company, we start from the records you give us. Catch-up bookkeeping, past-due filings and work for past periods are not included unless your order says so, and we will quote them before we do them.
9. Compliance
9.1 What Compliance includes. Compliance includes registered agent service and the registered agent address in your formation state, deadline reminders in your compliance calendar, and filing your company's annual report in your formation state, as listed at checkout and on our Pricing page. The annual report is prepared from your company profile. You review and approve it, and it is filed by our formation partner or your Incorpify team under your Filing Authorization.
9.2 What it does not include. State fees, franchise taxes and taxes owed with the annual report, filings in other states, licenses, and tax returns are not included unless your plan says so.
9.3 Who gets it. Compliance is included in Books and Complete. If you bought Formation only, Compliance is available from the start of your second year at the price shown at checkout and in your account, plus state fees. Section 10.4 explains how it renews.
9.4 Reminders are a help, not a guarantee. Deadlines come from the rules and the information we have. You remain responsible for meeting your company's legal obligations. If you know of a deadline or notice we have not shown, tell us.
10. Prices, billing, renewal and cancellation
10.1 Prices. Prices are shown on our Pricing page and at checkout, in US dollars, and do not include state fees or any sales tax, VAT or similar tax that may apply to our fees. The price shown at checkout is the price you pay. Our payment processor processes your payment; we do not store your full card details.
10.2 Books and Complete: 12-month commitment. Books and Complete are 12-month plans. You choose how to pay:
- Yearly: you pay for the 12 months in advance.
- Monthly: you pay each month, and you commit to 12 monthly payments.
If you cancel a monthly plan before the 12 months end, the remaining monthly payments for that 12-month term stay due, and you keep the plan until the end of the term. We don't refund yearly payments for the unused part of a term, except under Section 22 or where the law requires.
10.3 Renewal of Books and Complete. [CONFIRM: year-two billing — keep Option A or Option B and delete the other]
Option A — automatic renewal. If you pay yearly, at the end of each 12-month term your plan renews automatically for another 12 months at the price then in effect, and we charge the payment method on file. If you pay monthly, after your first 12-month term your plan continues month to month at the price then in effect, with no new commitment, and you can cancel at any time with effect from the end of the current month. Between 30 and 60 days before the last day you can cancel, and before each later renewal, we will email you a reminder with the renewal date, the amount, the cancellation deadline and a link to cancel. If the price will change, we will tell you in that reminder or earlier. You can turn off renewal at any time in your account settings, up to the day before the renewal date. Turning off renewal takes effect at the end of the current term.
Option B — renewal by invoice. At the end of each 12-month term, your plan does not renew automatically. Between 30 and 60 days before the term ends, we will send you an invoice for the next 12 months at the price then in effect. Your plan renews only if you pay it. If you don't pay by the end of the term, your plan ends, and Section 7.3 applies to your registered agent.
10.4 Compliance renewal (Formation customers). Compliance runs for 12 months from the start of your second year and renews each year in the same way as Section 10.3. If you don't take Compliance, Section 7.3 applies.
10.5 Failed payments. If a payment fails, we will tell you and try again. If it is still unpaid after 14 days, we may pause the parts of the Services that depend on it, including filings, until it is paid. Filings may be missed while Services are paused, and that is not our responsibility. Amounts you owe under a 12-month commitment remain due.
10.6 Additional services. Services we offer on request (for example, certificates of good standing, amendments or filings in other states) are priced when you ask, and you accept the price before we start.
10.7 Disputing a charge. If you think we charged you incorrectly, contact us first at [email protected] so we can fix it. We will answer within a reasonable time.
11. Compass, our AI assistant
11.1 What Compass is. Compass is an AI assistant in the Services. When you use it, you are talking to software, not a person. Compass answers questions using general information and, inside your account, your company's records, and it shows which record it used where it can.
11.2 Compass can make mistakes. Its answers may be incomplete, out of date or wrong. Compass gives general information, not legal, tax, accounting or financial advice, and it does not make decisions for you. Check anything important before you rely on it.
11.3 People approve what matters. Compass does not file anything, pay anything, or sign anything. Anything that is filed, paid or signed for your company is approved by a named person: you, your accountant, our CPA partner, or your Incorpify team.
11.4 What you put into Compass. Don't enter personal information about other people unless you need to and are allowed to share it. How we handle what you enter is explained in our Privacy Policy.
12. Your account and acceptable use
12.1 Your account. Keep your login details secure and tell us at once if you think someone else has accessed your account. You are responsible for what happens in your account, including actions by team members you invite. The owner of the company controls its account and decides who has access.
12.2 Don't misuse the Services. You must not:
- use the Services or a company formed through them for fraud, money laundering, tax evasion, sanctions evasion, or any other unlawful purpose;
- give false information, impersonate anyone, or form a company for someone without their authority;
- interfere with, overload, probe or break the security of the Services;
- copy, scrape, resell or reverse engineer the Services, or use them to build a competing product;
- upload malware or content that infringes anyone's rights;
- use Compass or the Services to produce content that is unlawful or harmful.
12.3 We may refuse a request, remove content, or suspend access if we reasonably believe you have broken this Section 12.
13. Your content and our intellectual property
13.1 Your content. You keep ownership of the information and documents you give us and your company's records ("Your Content"). You give Incorpify and the partners and providers who deliver the Services permission to use Your Content to provide, support and improve the Services and to meet legal obligations, as described in our Privacy Policy. You confirm that you have the right to give us Your Content.
13.2 Your documents. Documents created for your company (such as your formation document, EIN letter, operating agreement or bylaws, and tax returns) are yours to use for your company.
13.3 Our property. The Services, including the software, Compass, designs, text and trademarks, belong to Incorpify or its licensors. We give you a limited, non-exclusive, non-transferable right to use the Services for your company while these Terms apply. We keep all other rights.
13.4 Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
14. Partners and third-party services
14.1 The Services rely on third parties, including our formation partner, registered agent providers, our CPA partner, accountants, Intuit (QuickBooks Online), a bank-data provider, our payment processor and our hosting and AI providers. Some of them may ask you to accept their own terms, and their terms apply to their services.
14.2 We choose our partners with care and coordinate their work for you. To the extent the law allows, we are not responsible for third-party services we don't control, such as QuickBooks Online, your bank, or a government agency, or for their availability, except where Section 6 applies or where we caused the problem.
14.3 We may change partners or providers. If that affects a Service you have paid for, we will tell you and arrange for the Service to continue.
15. Privacy
Our Privacy Policy explains how we collect, use and share personal information, including information about your company's owners and officers. When you give us information about other people, you confirm that you are allowed to share it with us and with the partners who deliver the Services.
16. Disclaimers
16.1 We provide the Services with reasonable care and skill. Apart from what these Terms expressly say, and to the extent the law allows, the Services are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
16.2 Without limiting Section 16.1, we do not promise that:
- a state, the IRS or any agency will accept a filing by a particular date, or at all, other than as stated in Section 6;
- a bank, payment provider or other third party will open an account for your company or work with it;
- the Services will be uninterrupted or error-free;
- your company will be compliant with every law that applies to it.
17. Limitation of liability
17.1 To the extent the law allows, Incorpify and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, data or goodwill, arising from or related to these Terms or the Services, even if told they were possible.
17.2 To the extent the law allows, our total liability for all claims arising from or related to these Terms or the Services is limited to the fees you paid to Incorpify for the Services in the 12 months before the event giving rise to the claim, not counting state fees and other amounts we passed through to agencies.
17.3 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for fraud, for gross negligence or wilful misconduct, or for death or personal injury caused by negligence.
18. Indemnity
To the extent the law allows, you will defend, indemnify and hold harmless Incorpify and its officers, employees and partners from any third-party claim, and the losses and reasonable costs (including legal fees) that result, arising from: (a) information you gave us that was false, inaccurate or incomplete; (b) your breach of these Terms; (c) your violation of any law or of anyone's rights; or (d) your company's business. This Section does not apply to the extent the claim was caused by our own breach or negligence, and it does not apply to consumers in the EU or UK.
19. Suspension, termination and your data
19.1 You may close your account at any time from your account settings or by contacting us. Closing your account does not cancel amounts due under a 12-month commitment (Section 10.2) or undo filings already submitted.
19.2 We may suspend or end your access to the Services if you seriously or repeatedly break these Terms, if you don't pay, if Section 2 is no longer met, or if the law or a partner requires us to. Where reasonable, we will tell you first and give you a chance to fix the problem. If we end a paid Service without cause, we refund the unused part of what you prepaid for it.
19.3 Your records. Before your account closes, you can download your company's documents and records from the app. After closing, we keep and then delete data as described in our Privacy Policy and as the law requires. Your company continues to exist after you leave us; you are responsible for its registered agent (Section 7.3), filings and taxes.
19.4 Sections 3, 4.4, 6.2, 10 (for amounts due), 13, 16, 17, 18, 20, 21, 23 and 25 continue after these Terms end.
20. Dispute resolution and arbitration
Please read this Section carefully. It affects how disputes are resolved. It does not apply to consumers in the EU or UK (see Section 22).
20.1 Talk to us first. Before starting any formal claim, send us a written notice describing your claim and what you want, at the address in Section 26. We will try to resolve it with you within 60 days. Both sides will act in good faith. Time limits for bringing a claim are paused during this period.
20.2 Binding individual arbitration. If we can't resolve it, any dispute, claim or controversy arising from or relating to these Terms or the Services ("Dispute") will be resolved by binding arbitration administered by [CONFIRM: arbitration provider] under its rules that apply to the Dispute, including its consumer rules where they apply. The Federal Arbitration Act governs this Section 20. The arbitrator decides all questions about the scope and enforceability of this Section, except as stated in Section 20.6. Hearings may take place by video, or in person in [CONFIRM: arbitration seat], or in the county where you live if you are an individual. If the arbitration provider's rules require us to pay fees, we will pay them.
20.3 Exceptions. Either of us may bring an individual claim in small claims court if it qualifies. Either of us may ask a court for an injunction to stop infringement or misuse of intellectual property or of the Services.
20.4 No class actions. You and Incorpify may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person or award relief to anyone other than the individual party.
20.5 Many similar claims. If 25 or more similar Disputes are filed against us by the same or coordinated counsel, the arbitration provider's mass-arbitration rules will apply. Each party keeps the right to an individual decision on its own claim.
20.6 If the class waiver fails. If Section 20.4 is found unenforceable for a claim, that claim (and only that claim) will be decided in court under Section 21, and not in arbitration.
20.7 Opting out. You can opt out of this Section 20 by sending us written notice within 30 days of first accepting these Terms, to the address in Section 26 or by email to [email protected], with your name, account email and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
20.8 Changes to this Section. If we change this Section 20, the change will not apply to a Dispute we already knew about. You may reject the change by writing to us within 30 days, and the previous version will continue to apply to you.
21. Governing law and courts
These Terms are governed by the laws of [CONFIRM: governing law], without regard to conflict-of-law rules, and by the Federal Arbitration Act for Section 20. Any Dispute not subject to arbitration will be decided only by the state and federal courts located in [CONFIRM: governing law], and you and Incorpify consent to their jurisdiction. Section 22 applies to consumers in the EU and UK.
22. If you are a consumer in the EU, UK or elsewhere
22.1 The Services are designed for founders and businesses. If you buy as a consumer, meaning for purposes outside your trade, business or profession, and you live in a country whose law gives you rights that cannot be removed by contract, nothing in these Terms takes those rights away. Where these Terms conflict with them, those rights prevail.
22.2 EU and UK consumers. If you are a consumer living in the European Union or the United Kingdom:
- Right to withdraw. You can withdraw from a purchase within 14 days of the contract date without giving a reason, by using the withdrawal function in your account or by sending us a clear statement at [email protected]. We will confirm your withdrawal and refund you within 14 days, using the payment method you used.
- Services you ask us to start. If you ask us to start a Service within the 14 days, you agree to pay for what we have provided up to the time you withdraw, in proportion to the whole Service, including state fees we have already paid for you. When you sign the Filing Authorization and confirm your formation order for submission, you expressly ask us to perform the formation now, and you acknowledge that you lose your right to withdraw from the formation once it has been fully performed.
- Arbitration does not apply. Section 20 does not apply to you. You can bring a claim in the courts of the country where you live, and the mandatory consumer laws of that country continue to protect you whatever law governs these Terms.
- Liability. Sections 17 and 18 do not limit our liability where your local law does not allow it. We are responsible for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill.
- Commitment and renewal. The 12-month commitment and renewal rules in Section 10 apply only to the extent your local law allows.
23. Electronic communications and signatures
23.1 You agree to receive notices, receipts, reminders, disclosures and other communications from us electronically, by email to the address on your account or in the app. Electronic communications satisfy any requirement that a communication be in writing. Keep your email address current, and check the app and your email regularly.
23.2 You agree that documents may be signed electronically in the Services, including the Filing Authorization, Form SS-4 and other filings, and that your electronic signature is legally binding, in the same way as a handwritten signature, under the US Electronic Signatures in Global and National Commerce Act (E-SIGN) and similar laws. You can ask us for a copy of any document you signed.
23.3 You can withdraw your consent to electronic communications by contacting us. Because the Services are delivered online, withdrawing consent means we may need to close your account; amounts already due remain due.
24. Changes to these Terms or the Services
24.1 We may update these Terms from time to time. If a change is material, we will tell you by email or in the app at least 30 days before it takes effect, unless the change is required by law or concerns a new feature, in which case it may take effect sooner. If you continue to use the Services after the change takes effect, you accept it. If you don't agree, you can stop using the Services and close your account before the change takes effect, and the change will not apply to the remainder of a term you have already paid for, except where required by law.
24.2 We may change the Services, for example to add or remove features. We will not materially reduce a Service you have paid for during its current term without telling you and, where appropriate, refunding the affected part.
25. General
- Entire agreement. These Terms, the documents named in Section 1.3 and our Privacy Policy are the whole agreement between you and Incorpify about the Services.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them to a company that takes over our business or the relevant Services, and we will tell you if we do.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including government agency outages, delays and backlogs, changes in law, internet or provider failures, and natural disasters.
- Severability. If a court or arbitrator finds part of these Terms unenforceable, the rest stays in effect, subject to Section 20.6.
- No waiver. If we don't enforce a right, we have not given it up.
- Independent parties. You and Incorpify are independent parties. Nothing in these Terms creates a partnership, agency, employment or fiduciary relationship.
- Language. These Terms are written in English. If we provide a translation, the English version governs, unless your local law requires otherwise.
- Headings and summary. The summary at the top and the headings are for convenience and do not change the meaning of these Terms.
